1. Introduction

  1. Deskmate Technology Ltd ("the Company", "we", "us") is a UK-based provider of virtual office services ("the Services") which include, but are not limited to, mail forwarding, business address usage, director’s service addresses, and registered office services at our designated office locations ("the Address").

  2. Full details of the Services and Addresses are available on our website at www.desk- mate.co.uk ("the Website").

  3. These Terms & Conditions (“Terms”) govern the supply of Services by the Company to you ("the Client", "you", "your") and, together with your purchase confirmation, form the entire legally binding agreement between us (“the Agreement”).

  4. These Terms apply to the exclusion of any other terms, including any you may seek to impose or incorporate, or any implied by law, trade custom, or prior dealings.

  5. By purchasing Services through our Website, you confirm that you accept and agree to be bound by these Terms.

  6. Any orders placed via other methods (e.g., phone, email) must still adhere to these Terms unless explicitly agreed otherwise in writing by us.

  7. You warrant that you are at least 18 years of age and have full legal authority to enter into this Agreement.

  8. While we aim to keep the Website up to date, we do not guarantee the accuracy, reliability, or completeness of information contained within it.

  9. Content on the Website is for informational purposes only and is not professional, financial, or legal advice.

  10. We reserve the right to amend, suspend, or withdraw the Website (or part of it) without notice.

  11. We do not guarantee that the Website will always be available, uninterrupted, or free from defects, viruses, or harmful components.

  12. You are responsible for maintaining the confidentiality of any login credentials used on the Website.

  13. Access to the Website and the use of Services is governed by the laws of England and Wales.

  14. Order Acceptance & Identity Verification Clause:

    • We reserve the absolute right to decline any order without the need to provide a reason.

    • No use of the Address, including registering at Companies House, is permitted until we have verified your identity to our satisfaction and confirmed approval in writing.

    • We are under no obligation to commence or continue Services unless all identification, compliance, and legal checks are satisfactorily completed.

 

  • If at any point, your conduct, the nature of your business, or documentation raises concerns, we reserve the right to cancel Services without refund.

2. Term & Agreement Duration

  1. This Agreement comes into effect when payment has been successfully processed and confirmed.

  2. Services are provided for an initial term of either:

    • Monthly Subscriptions: One (1) month minimum term, renewing automatically on a rolling monthly basis thereafter.

    • Annual Subscriptions: Twelve (12) month minimum term, renewing automatically annually thereafter.

  3. Unless cancelled in accordance with the termination terms, the Agreement continues indefinitely and fees become due for each renewal period.

  4. Payments made are non-refundable except where specified.

  5. It is solely your responsibility to terminate the Agreement if you do not wish to renew; failure to cancel will result in continued billing and liability for fees.

  6. Any clerical or typographical errors in published material, prices, invoices, or communications shall be subject to correction without liability on our part.

  7. No variation of these Terms is valid unless agreed in writing and signed by the Company.

 

 

3. Use of Address

  1. Upon purchasing a Service, you are granted a limited, non-exclusive, non-transferable right to use the Address for legitimate business statutory correspondence during the term of this Agreement.

    • Where you have purchased our business address package, additional business mail addressed to the business name is accepted alongside statutory mail

  2. Under no circumstances may you imply physical occupation, residency, or permanent establishment at the Address.

  3. You may not use the Address in any way that could mislead third parties, regulatory bodies, or authorities.

  4. We reserve the right to reject or disallow specific business types or activities at our sole discretion, particularly where activities:

    • Are unlawful or suspected of illegality

    • May damage our reputation or goodwill

    • Are deemed unethical or immoral

    • May attract negative public attention or regulatory scrutiny

 

  1. The following industries are generally prohibited:​

    • Gambling or betting

    • Alcohol sales

    • Financial services including cryptocurrencies, insurance, investments, or payday loans

    • Firearms or weapons-related businesses

    • Pharmaceuticals

    • Tax rebate and avoidance schemes

  2. Adult entertainment

  3. You must not take any action, or omit to act, that may damage, defame, or otherwise negatively affect the reputation of Deskmate Technology Ltd or the Address.

  4. It is strictly prohibited to attempt to redirect, intercept, or tamper with mail addressed to or delivered at the Address outside of our authorised mail handling services.

 

 

4. Identity Verification & Compliance

  1. We are required by law, including HMRC’s Money Laundering Regulations (MLR 2017), to verify the identity of all Clients.

  2. Before the commencement of Services or forwarding of mail, you must provide clear, valid copies of:

    • A government-issued photo ID (passport, driving licence, or EU ID card)

    • A recent utility bill, bank statement, or official letter showing your name and current address (dated within the last 6 months)

  3. These documents must be submitted via our secure identity verification platform (e.g. Stripe Identity) as instructed.

  4. Failure to provide required documents will result in rejection of your application.

  5. We may, at any time, request additional identification or supporting documents, including originals or certified copies, especially where company ownership structures or business activities require further clarification.

  6. We reserve the right to request additional information or conduct a periodic AML checks on all directors at intervals chosen by the company. Failure to pass an AML check within 7 days of a request may result in cancellation without refund.

  7. Failure to comply with any such request within 7 days may result in immediate suspension or termination of Services without refund.

  8. You agree to promptly notify us in writing of any changes to your address, contact details, or business activities.

 

By accepting these Terms, you authorise us to conduct digital ID checks, which may be recorded on your credit file, as part of our compliance obligations.

 

 

5. Mail Forwarding Services

  1. Your mail must be addressed in the exact format provided at signup and confirmation, clearly stating your company or trading name along with our supplied Address.

  2. We will not be responsible for any delays, non-delivery, or misdirected mail resulting from improper address use.

  3. Mail is processed and forwarded (electronically or physically) according to your chosen package.

  4. Physical collection of mail is not permitted unless arranged and agreed in writing.

  5. You explicitly consent to us opening, scanning, and securely uploading your mail to your account.

  6. Statutory mail (from HMRC, Companies House, etc.) will be forwarded as part of all packages.

  7. Business mail is forwarded up to the limit specified in your subscription. Additional mail may be subject to extra charges.

  8. Scanned letters are retained digitally; physical copies are shredded securely after 3 months unless unsuitable for scanning (e.g., cheques, cards).

  9. Any mail addressed ambiguously or incorrectly may be returned to sender without liability.

  10. We reserve the right to intercept, dispose of, or forward to relevant authorities any mail deemed suspicious, illegal, or harmful.

 

 

6. Parcels

  1. We do not accept parcels at any of our Addresses.

  2. Unsolicited or unexpected items may be disposed of immediately, and we accept no liability for their receipt or disposal.

 

7. Services Overview

  1. Purchase of a package entitles you to:

    • Use of the Address as your Registered Office at Companies House

    • Use of the Address as a Director’s Service Address

    • Usage of the Address for general correspondence, marketing materials, websites, stationery, patents, and trademarks

 

  1. Meeting room access is subject to availability and must be booked and paid for in advance.

  2. We reserve the right to refuse credit or modify service availability at our discretion.

  3. Any service add-ons will expire in line with your account renewal date.

 

 

8. Fees & Payment Terms

  1. Fees are payable monthly or annually, in advance.

  2. We reserve the right to adjust our fees without notice, though efforts will be made to notify Clients.

  3. Incorrect tariffs or usage will result in additional invoicing and potential service suspension until corrected.

  4. Administrative changes (e.g., address updates) may incur additional charges.

  5. Payment details are securely stored by our payment processors for ease of billing.

  6. Outstanding fees may be charged to saved payment methods at our discretion.

  7. We reserve the right to pursue unpaid fees via legal action or debt recovery services.

 

 

9. Discounts & Promotions

  1. Discounted rates may be offered at our discretion but are limited to specific offers and timeframes.

  2. Introductory offers cannot be retrospectively applied or reused.

  3. A maximum of one promotional code may be applied per order.

 

 

10. Account Renewal

  1. Services will renew automatically unless cancelled in accordance with our termination policy.

  2. Monthly Clients will be charged each month without notice.

  3. Annual Clients will receive renewal reminders prior to expiry.

  4. Continued use of the Address after expiry mandates account renewal and full payment.

  5. Failure to renew may result in us notifying third parties to cease your use of the Address.

 

 

11. Termination & Account Closure

 

You may terminate Services at any time by providing written notice via email or letter. If your package is a monthly subscription, it will run to the end of the month your notice is provided. If annual, it will cancel 12 months from your last payment.

 

  1. You must change the address on Companies House and all your marketing materials before requesting to cancel your subscription. We will only accept cancellations where the address is no longer in use.

  2. We reserve the right to terminate your account immediately without refund if you breach these Terms, fail verification, misuse the Address, or if illegal activities are suspected.

  3. Upon termination, all usage of the Address must cease, including at Companies House, HMRC, or on any public-facing materials.

  4. Failure to respond to compliance requests within 14 days may result in termination.

  5. Complaints from enforcement agencies, the public, or excessive/unreasonable mail processing will result in account closure.

  6. Following account termination, scanned mail will be retained and available within your account, accessible to you. You may request data deletion in writing.

  7. More than one visit from a bailiff or debt collection agency will result in your subscription being cancelled.

 

 

12. Refunds

  1. Refunds are available if the Address has not yet been used for official registration or correspondence.

  2. Refund requests after 14 days are considered at our sole discretion.

  3. Refunds for third-party services are handled by the partner provider.

  4. If we close an Address, we will offer either an alternative or a pro-rata refund of any unused portion of the fee.

  5. Bank charges or transaction fees may be deducted from refunds.

 

 

13. Liability & Indemnity

  1. We do not exclude liability for death, personal injury, or fraud.

  2. To the fullest extent permitted by law, we are not liable for indirect, consequential, or business losses arising under this Agreement.

  3. Our maximum liability is limited to the fees paid by you in the 12 months preceding the claim.

  4. You agree to indemnify us against any claims, losses, damages, or costs arising from your breach of these Terms.

  5. We are not liable for delays or failures caused by force majeure events beyond our control (e.g., acts of God, war, pandemics, etc.).

 

 

14. Intellectual Property

 

  1. All intellectual property relating to the Address and Services remains the sole property of Deskmate Technology Ltd.

  2. You acquire no rights over our intellectual property or goodwill through use of the Services.

  3. We reserve the right to reject company names or trading names that conflict with or are confusingly similar to our own.

 

 

15. Changes to Terms & Conditions

  1. We may update these Terms at any time.

  2. You agree to review them regularly and accept them by continuing to use our Services.

  3. Notice of significant changes will be sent via email and will be deemed received within 2 hours of transmission.

  4. Continued use after notification constitutes acceptance of any amendments.
